All prices are quoted in United States Dollars (USD) and are as displayed on our website at the time of purchase. Prices are subject to change — the price applicable to your order is the price in effect at the time you place your order.
Our service fees are separate from and in addition to any applicable government filing fees, state fees, or IRS fees. These third-party fees are listed clearly for each service (e.g., Florida state filing fees for LLC formation). UGBV is not responsible for changes in government fee schedules.
If you request a cancellation before any work has begun on your order, you are entitled to a full refund of our service fee (excluding any payment processing fees). Cancellation requests must be submitted via email to contact@usmaniglobal.com.

UGBV is not responsible for errors, rejections, or delays arising from inaccurate or incomplete information provided by the client.
Service timelines quoted on our website (e.g., "7–10 business days" for LLC formation, "1–2 weeks" for EIN) are estimates based on typical processing times by government agencies. These timelines are not guaranteed and may be affected by:
UGBV will communicate proactively if significant delays arise and will work to resolve them as quickly as possible. Delays caused by third-party agencies do not entitle the client to a refund.
These timelines are estimates. Delays may occur due to the volume of research required, availability of data for niche markets, or client response times. Amazon account approvals and gating decisions are entirely within Amazon's control and outside our timeline commitments.
TikTok Shop approval timelines are controlled entirely by TikTok and can vary significantly. UGBV is not responsible for delays caused by TikTok's review process, platform outages, or policy changes. We will keep you informed of the status throughout.
To the maximum extent permitted by applicable law, UGBV's total liability to you for any claims arising from or related to our services shall not exceed the total amount you paid to us for the specific service giving rise to the claim.

UGBV provides data-driven product research, supplier sourcing, and listing services to assist Amazon sellers. Our recommendations are based on publicly available marketplace data, third-party tools (such as Helium 10 and Jungle Scout), and our team's expertise. All research reflects market conditions at the time of delivery.
UGBV does not guarantee specific sales figures, revenue targets, profit margins, or Amazon search rankings. E-commerce results depend on numerous factors outside our control, including client execution, advertising spend, inventory management, market competition, and Amazon's algorithm. Our research is advisory in nature.
UGBV is an independent service provider and is not affiliated with, endorsed by, or a partner of Amazon.com, Inc. Amazon's policies, fees, and platform rules are subject to change without notice. UGBV is not responsible for any changes Amazon makes to its policies, fee structures, or marketplace rules that affect your business after our service has been delivered.
The client is solely responsible for all purchasing decisions, inventory investments, supplier negotiations, and business outcomes. UGBV provides research and recommendations — the decision to act on any recommendation remains entirely with the client. We strongly advise all clients to conduct their own due diligence before making significant financial commitments.

UGBV assists clients with TikTok Shop merchant account setup, product listing, content creation, and advertising strategy. Our services are designed to establish and grow your presence on TikTok's e-commerce platform. Results depend on product quality, content engagement, market trends, and platform dynamics.
TikTok Shop has specific eligibility requirements that vary by country and marketplace. UGBV will advise on these requirements, but it is the client's responsibility to ensure they meet all eligibility criteria before purchasing our services. UGBV is not responsible if TikTok rejects a shop application due to the client's failure to meet platform eligibility requirements.
UGBV does not guarantee specific follower counts, video views, order volumes, or revenue figures. TikTok Shop performance depends on product quality, content engagement, competitor activity, advertising spend, and TikTok's algorithm — all of which are outside our control. Our services are advisory and execution-based; actual outcomes will vary.
All content created by UGBV on your behalf (videos, product descriptions, graphics, ad creatives) becomes your property upon full payment. UGBV retains the right to reference such work in our portfolio unless you request otherwise in writing. You are responsible for ensuring that any product images, brand assets, or materials you provide to us are lawfully owned or licensed by you.
UGBV is an independent service provider and is not affiliated with, endorsed by, or a partner of TikTok or ByteDance Ltd. TikTok's policies, fee structures, and community guidelines are subject to change at any time without notice. UGBV is not responsible for changes TikTok makes to its platform that affect your shop, listings, or advertising campaigns after our service has been delivered.
Important: TikTok Shop availability and features vary by country and are subject to regulatory changes. Ensure TikTok Shop is available and legally accessible in your jurisdiction before purchasing our setup services.
All content on the UGBV website — including text, graphics, logos, images, and design elements — is the property of Usmani Global Business Ventures LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
Documents prepared specifically for your business (e.g., your Operating Agreement, Articles of Organization) remain your property upon full payment. General templates and proprietary processes used to create these documents remain the property of UGBV.
We treat all client information — including business plans, financial details, and identification documents — with strict confidentiality. We will not disclose your confidential information to third parties except as necessary to deliver your services or as required by law (see our Privacy Policy for full details).
You agree not to disclose any proprietary processes, pricing structures, or business methods of UGBV to third parties without our written consent.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles.
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails within 30 days, disputes shall be submitted to binding arbitration in Pinellas County, Florida, in accordance with the American Arbitration Association's Commercial Arbitration Rules. You waive any right to a jury trial.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.
UGBV reserves the right to terminate or suspend services at any time if:
In the event of termination by UGBV for cause, no refund will be issued. If UGBV terminates for reasons unrelated to client fault, a pro-rata refund will be offered.
